SAPIAN TERMS OF SERVICE

1. ACCEPTANCE OF TERMS
Welcome to Sapian ("we," "our," "us," or "Service"). These Terms of Service ("Terms") constitute a legally binding agreement between you and Sapian governing your access to and use of the Sapian mobile application (the "App"), website, and all related services (collectively, the "Service").
BY CREATING AN ACCOUNT, ACCESSING, OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.
2. ELIGIBILITY
2.1 Age Requirement
You must be at least 18 years old to use Sapian. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this agreement.
2.2 Verification
We reserve the right to request proof of age at any time. If we discover that you are under 18, we will immediately terminate your account without notice or refund.
2.3 Prohibited Users
You may not use the Service if:

You have been previously banned from Sapian
You are a convicted sex offender
You are prohibited by law from using the Service
You are located in a country subject to U.S. embargo or designated as a "terrorist supporting" country

3. ACCOUNT REGISTRATION AND SECURITY
3.1 Account Creation
To use Sapian, you must create an account providing accurate, current, and complete information including your real name, age, and email address.
3.2 Account Security
You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized use

3.3 One Account Per Person
You may only maintain one account. Creating multiple accounts may result in termination of all your accounts.
3.4 Account Accuracy
You agree to provide truthful information in your profile. Misrepresenting your identity, age, or other information is prohibited and grounds for immediate termination.
4. DESCRIPTION OF SERVICE
Sapian is a platform that enables users to find and connect with other users for in-person meetings and activities such as walks, coffee, sports, and other social activities.
SAPIAN IS A PLATFORM ONLY. WE DO NOT:

Organize, facilitate, or supervise any in-person meetings
Verify the identity, background, or statements of users
Conduct criminal background checks
Guarantee the safety, conduct, or compatibility of users
Assume any responsibility for user interactions, whether online or offline

5. USER CONDUCT AND PROHIBITED ACTIVITIES
5.1 Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms.
5.2 Prohibited Activities
You may NOT:
Safety and Legal Violations:

Harass, threaten, stalk, intimidate, or harm another user
Engage in any form of violence or threatening behavior
Use the Service to commit or facilitate any crime
Impersonate any person or entity
Post content involving minors in any way

Commercial Misuse:

Use the Service for commercial purposes without authorization
Solicit money from other users
Engage in multi-level marketing (MLM) or pyramid schemes
Advertise or sell products or services
Use the Service for prostitution or solicitation
Request or provide payment for meetings

Platform Abuse:

Create fake accounts or use automated systems (bots)
Scrape, copy, or harvest user data
Reverse engineer or attempt to extract source code
Interfere with or disrupt the Service
Bypass security measures or access restrictions

Content Violations:

Post sexually explicit, pornographic, or nude content
Post violent, hateful, or discriminatory content
Post spam or unsolicited advertisements
Post content that violates intellectual property rights
Post false, misleading, or fraudulent content

5.3 Consequences
Violation of these rules may result in immediate account termination without warning, refund, or explanation.
6. USER CONTENT
6.1 Your Content
You retain ownership of content you post ("User Content"), including photos, text, and messages.
6.2 License to Sapian
By posting User Content, you grant Sapian a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, and display your User Content in connection with operating and promoting the Service.
6.3 Representations and Warranties
You represent and warrant that:

You own or have the necessary rights to your User Content
Your User Content does not violate any third-party rights
Your User Content complies with these Terms

6.4 Monitoring and Removal
We reserve the right, but have no obligation, to:

Monitor, review, or remove any User Content
Moderate User Content at our sole discretion
Remove content that violates these Terms or applicable law

We do not pre-screen User Content and are not responsible for any User Content posted by users.
6.5 Reporting
Users can report inappropriate content or behavior. We will investigate reports and take action as we deem appropriate in our sole discretion.
7. SAFETY AND OFFLINE MEETINGS
7.1 CRITICAL DISCLAIMER: SAPIAN DOES NOT CONDUCT BACKGROUND CHECKS OR VERIFY USER IDENTITIES. YOU MEET OTHER USERS ENTIRELY AT YOUR OWN RISK.
We do NOT:

Screen, vet, or investigate users
Verify users' identities, backgrounds, or criminal records
Guarantee the accuracy of profile information
Monitor or control offline meetings
Assume any responsibility for what happens during or after meetings

7.2 Your Responsibility
You are solely responsible for:

Your own safety when meeting other users
Investigating and evaluating users before meeting them
Choosing where, when, and how to meet others
Your conduct during meetings
Any consequences resulting from meetings

7.3 Safety Recommendations
While we cannot guarantee your safety, we strongly recommend:

Meet in public places for first meetings
Tell friends or family where you are going
Do not share financial information
Trust your instincts and leave if you feel uncomfortable
Do not get in vehicles with people you just met
Do not invite people you just met to your home
Arrange your own transportation

7.4 No Liability for Meetings
SAPIAN EXPRESSLY DISCLAIMS ALL LIABILITY FOR ANY HARM, INJURY, DAMAGE, DEATH, FINANCIAL LOSS, EMOTIONAL DISTRESS, OR ANY OTHER CONSEQUENCE ARISING FROM OR RELATED TO MEETINGS BETWEEN USERS, WHETHER THOSE MEETINGS WERE ARRANGED THROUGH THE SERVICE OR NOT.
8. HEALTH AND PHYSICAL ACTIVITY DISCLAIMER
Sapian promotes physical activities including walking, sports, and other exercises.
YOU ACKNOWLEDGE AND AGREE THAT:

You should consult a physician before beginning any new exercise program
Physical activity carries inherent risks including injury or death
We are not responsible for any health issues, injuries, or medical conditions arising from your use of the Service or participation in activities
You participate in all physical activities at your own risk

9. DISCLAIMER OF WARRANTIES
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY LAW, SAPIAN DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

Warranties of merchantability, fitness for a particular purpose, and non-infringement
That the Service will be uninterrupted, secure, or error-free
That defects will be corrected
That the Service is free of viruses or harmful components
The quality, safety, or legality of users or their conduct
The accuracy, reliability, or completeness of any information on the Service
That you will achieve any particular results from using the Service

NO ADVICE OR INFORMATION OBTAINED FROM SAPIAN OR THROUGH THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
10. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
10.1 Exclusion of Liability
SAPIAN, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY:

Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or use
Personal injury, property damage, or death
Emotional distress or psychological harm
Damage to reputation
Any damages arising from user interactions, whether online or offline
Any damages arising from unauthorized access to your information
Any damages resulting from meetings between users

10.2 Cap on Liability
IN NO EVENT SHALL SAPIAN'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SAPIAN IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.
10.3 Essential Purpose
You acknowledge that these limitations are essential to the agreement between you and Sapian and that Sapian would not provide the Service without these limitations.
11. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Sapian, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

Your use or misuse of the Service
Your violation of these Terms
Your violation of any law or rights of any third party
Your User Content
Your interactions with other users, online or offline
Any meetings or activities with other users
Any harm, injury, or damage you cause to yourself or others
Your breach of any representation or warranty in these Terms

This indemnification obligation survives termination of these Terms and your use of the Service.
12. INTELLECTUAL PROPERTY
12.1 Sapian's Rights
The Service, including its design, features, graphics, logos, software, and all intellectual property rights therein, is owned by Sapian or its licensors and protected by copyright, trademark, and other laws.
12.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes, subject to these Terms.
12.3 Restrictions
You may not:

Copy, modify, or create derivative works of the Service
Reverse engineer, decompile, or disassemble the Service
Remove proprietary notices from the Service
Use Sapian's name, logo, or trademarks without permission

12.4 Feedback
If you provide feedback or suggestions about the Service, we may use them without any obligation to you.
13. THIRD-PARTY SERVICES AND LINKS
The Service may contain links to third-party websites or integrate with third-party services. We are not responsible for:

The availability, content, or practices of third-party services
Any transactions you enter into with third parties
The privacy practices of third-party services

Your use of third-party services is at your own risk and subject to their terms.
14. PAYMENTS AND SUBSCRIPTIONS
14.1 Paid Features
Certain features of Sapian may require payment. Prices are displayed in the App.
14.2 Subscriptions
If you purchase a subscription:

Subscriptions automatically renew unless cancelled
You authorize us to charge your payment method
We may change subscription prices with notice
Cancellation takes effect at the end of the current billing period

14.3 No Refunds
ALL PURCHASES ARE FINAL AND NON-REFUNDABLE, except as required by law or at our sole discretion.
14.4 Account Termination and Payments
If your account is terminated for violating these Terms, you forfeit any remaining subscription period or purchased features without refund.
15. TERMINATION
15.1 By You
You may terminate your account at any time through the App settings or by contacting us.
15.2 By Sapian
We may suspend or terminate your account immediately, without notice or liability, for any reason, including:

Violation of these Terms
Fraudulent or illegal activity
Requests by law enforcement
Extended periods of inactivity
At our sole discretion

15.3 Effect of Termination
Upon termination:

Your right to use the Service immediately ceases
We may delete your account and User Content
Outstanding obligations (payments, indemnification) survive
We have no obligation to retain or provide you with your data

15.4 No Liability
We are not liable to you or any third party for termination of your account or access to the Service.
16. MODIFICATIONS TO THE SERVICE AND TERMS
16.1 Changes to Service
We reserve the right to:

Modify, suspend, or discontinue any aspect of the Service
Change features, functionality, or availability
Implement usage limits

We are not liable for any modification, suspension, or discontinuation of the Service.
16.2 Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by:

Posting updated Terms in the App
Sending notice to your registered email
Displaying a notification in the App

Your continued use of the Service after changes constitutes acceptance of the modified Terms.
16.3 Review Obligation
You are responsible for regularly reviewing these Terms. If you do not agree to modified Terms, you must stop using the Service.
17. PRIVACY
Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information. By using the Service, you consent to our Privacy Policy.

We use your information to operate the Service and communicate with you
We share information only as described in the Privacy Policy

18. DATA SECURITY
While we implement reasonable security measures, we cannot guarantee absolute security. You acknowledge that:

Internet transmissions are never completely secure
We are not responsible for unauthorized access to your information

19. DISPUTE RESOLUTION AND GOVERNING LAW
19.1 Informal Resolution
Before filing a claim, you agree to contact us to attempt to resolve the dispute informally. Contact us at alexey.bystritsky@gmail.com with a description of the dispute.
19.2 Binding Arbitration
IF INFORMAL RESOLUTION FAILS, YOU AGREE THAT ANY DISPUTE ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE WILL BE RESOLVED BY BINDING ARBITRATION, NOT IN COURT, except as provided below.
Arbitration will be conducted by arbitration under its rules. The arbitration will take place in Russia.
19.3 Exceptions to Arbitration
Either party may bring a claim in small claims court. Either party may seek injunctive relief in court to protect intellectual property rights.
19.4 No Class Actions
YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
19.5 Governing Law
These Terms are governed by the laws of Russia, without regard to conflict of law principles.
19.6 Jurisdiction
To the extent arbitration does not apply, you agree to the exclusive jurisdiction of the courts located in [city, state/country].
20. DMCA COPYRIGHT POLICY
We respect intellectual property rights. If you believe your copyright has been infringed, notify us with:

Identification of the copyrighted work
Identification of the infringing material
Your contact information
A statement of good faith belief
A statement of accuracy under penalty of perjury
Your physical or electronic signature

21. MISCELLANEOUS

If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain in full effect.
21.3 Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
21.4 Assignment
You may not assign or transfer these Terms or your account. We may assign or transfer these Terms without your consent.
21.5 No Agency
Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship.
21.6 Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control.
21.7 Survival
Provisions that by their nature should survive termination (including limitations of liability, indemnification, and dispute resolution) will survive.
21.8 Language
These Terms are written in English. Any translations are for convenience only. In case of conflict, the English version prevails.

You are at least 18 years old
You agree to be bound by these Terms
You understand that Sapian does not conduct background checks
You meet other users entirely at your own risk
Sapian is not liable for any harm arising from user interactions
You waive the right to participate in class action lawsuits
You agree to resolve disputes through arbitration
